The Windows OS keeps track of which .DLL files and in which process they are loaded. When a .DLL is in use (loaded into a process) Windows will prevent programs from deleting the .DLL file.

This might help:
* Reboot your computer, uninstall iTunes, reboot again, and install iTunes.

* If that did not help, you can track down which process that is using the .DLL with help of Process Explorer:

http://technet.microsoft.com/en-us/sysinternals/bb896653.aspx

Process Explorer has an option to show the .DLLs loaded into each process. Go to View -> Lower Pane View -> DLLs).

Once you've found which processes have loaded the .DLL, temporarily kill the processes with Process Explorer. Then try to uninstall/install iTunes again.

Hope that helped.
